UWU Rules (Terms of Use and Policies)

By using the UWU platform (including the website, apps, Telegram bot, API, and other services, hereinafter the “Platform”), you agree to these Rules as well as UWU’s Privacy Policy and other published policies. If you do not agree, please stop using the Platform.

1. Who we are and what we do

1.1. UWU is an advertising and information online platform and a technical provider of tools for user interactions. We provide functionality for posting listings, convenient communications, the “Secure Deal” tool (crypto escrow), a dispute-resolution system, profile promotion (boosts), an internal balance, and other services.

1.2. UWU is not an escort agency and does not organize the provision of sexual services. UWU does not act as a broker, employer, agent, or representative of any party to an interaction. The Platform is not a bank, does not issue electronic money, and does not provide payment services.

1.3. All transactions and services are concluded and rendered directly between Platform users. UWU is not a party to such agreements and does not control their terms. We only provide technical means to facilitate convenient and safer interactions.

2. Terms (definitions of some roles and functions for ease of understanding)

Client - a user who posts requests/bookings for services.

Employee - a user who posts listings for services offered. The term is used solely for convenience and does not create an employment relationship between such user and UWU. Employees act as independent, self-employed providers.

Regular Employee - an Employee without “Elite” status.

Elite - an Employee with a special status who has passed screening/training and is connected to UWU’s extended service package (details - section 11.3).

Secure Deal - a tool for conditional escrow/holding of funds in cryptocurrency until deal conditions are met; a crypto escrow analogue.

Shift - a paid time slot for publishing an Employee’s profile (relevant for Regular Employees; purchased using internal units - see section 11.2.a).

3. Age and lawful use

3.1. Access to the Platform is strictly permitted to persons aged 18 and over. By registering and using UWU, you confirm you are 18 years old (or have reached the age of majority in your jurisdiction if higher than 18).

3.2. You also confirm that accessing “18+” content and using the Platform is lawful in your jurisdiction and that you access it of your own free will and discretion. You are personally responsible for complying with the laws of your country regarding the content you view and services you request.

3.3. UWU may at any time request that you verify your age and/or identity (e.g., by document), especially if there are suspected violations of age restrictions or the law. Refusal to provide such data may result in suspension of service.

4. Account, security, and conduct

4.1. Each UWU account is tied to a specific person and is intended for personal use. You may not transfer your account (login, access) to third parties, sell it, or otherwise share it. You must maintain the confidentiality of your credentials.

4.2. You agree to use the Platform properly. The following are prohibited:

  • insults, harassment, hate speech, or threats against others;
  • spam, intrusive advertising, fraud, or solicitation of money/data;
  • attempts to hack or bypass the Platform’s technical restrictions;
  • automated data collection from the Platform (scraping, bot scripts, data mining) without UWU’s written permission;
  • actions that disrupt the Platform (DDoS, malware, etc.);
  • any manipulation of moderation mechanisms, rankings, and reviews.

4.3. Measures for violations: At its discretion, UWU may restrict account functionality, temporarily freeze internal funds (e.g., under a Secure Deal while a dispute is reviewed), block the account, or remove user-posted content if these Rules or the law are violated or if reasonable complaints are received from other users. UWU will notify the user about the measure taken and its reason (unless notification would violate legal requirements or interfere with a fraud investigation). The Platform strives to act proportionately; in some cases a user may be given a chance to cure a violation; in others, blocking may occur without notice (e.g., for gross or repeated violations).

5. User roles and independence

5.1. UWU is a platform for users’ independent interactions. Clients and Employees (service providers) act on their own behalf and at their own expense. All service terms (including the nature of the service, its price, and the time and place of performance) are determined by the users themselves through mutual agreement. Each user is independently responsible for complying with the laws applicable to them, including tax obligations, business registration requirements, and so forth. UWU is not a tax agent and does not withhold taxes from payouts; users must self-report income in accordance with their jurisdiction’s laws.

5.2. UWU does not control or organize offline interactions between users and does not guarantee their outcomes. We cannot promise that a service will meet your expectations or that a particular user will show up for a meeting-such aspects are beyond the Platform’s control. However, we welcome feedback, publish ratings/reviews, and, where disputes arise, we try to help resolve them (see section 12). UWU is not liable for any private agreements between users outside the Platform’s functionality.

6. Behavioral code and consent for interactions

6.1. Voluntary consent and personal boundaries. All interactions between a Client and an Employee (including any personal services) are permissible only on the basis of mutual, voluntary consent. Each participant may refuse to continue at any time, especially if the other party violates rules, established boundaries, safety conditions, or legal requirements. An Employee has the full right to refuse to provide a service or to end a meeting at any moment if they feel discomfort or danger, or if they observe your violation of these Rules or the law. Coercion in any form is strictly prohibited (see 6.2 and 6.3).

6.2. Ban on violence and threats. Any form of physical or psychological violence, coercion, blackmail, stalking, or threats against another user is strictly prohibited. Threats such as “doxing” (disclosure of personal data) or spreading defamatory information are unacceptable. If you become the target of threats or aggression, immediately terminate the interaction and report the incident to UWU support.

6.3. Ban on illegal demands. A Client may not propose or demand actions that are illegal in the relevant jurisdiction. This includes, in particular: involvement of minors; provision of narcotics or weapons; involvement in criminal activity; and any sexual services explicitly prohibited by law where they are to be provided. The Employee may immediately terminate communication if they receive such a request and report it to UWU.

6.4. Privacy and private life. Respect the other party’s privacy. The following are strictly prohibited: covert audio or video recording of meetings without explicit consent; publishing or sharing with anyone your private chats, correspondence, photos, or other materials received from another user without their consent or without a legal basis; attempts to discover an Employee’s real identity, address, or workplace if they have not voluntarily disclosed it. UWU strives to protect Employees’ anonymity: passing verification does not mean their identity is disclosed to other users. Any attempts at doxing (identification by indirect data, surveillance) will be stopped and may result in blocking.

6.5. Honesty in payments. Parties must agree on payments honestly. A Client may not mislead an Employee about compensation or terms of payment (e.g., promising one amount but paying less). Abuse of the Secure Deal tool is prohibited-e.g., requesting unfounded chargebacks or disputing a transaction after receiving a service without a valid reason. Such actions are considered fraud and may lead to sanctions (account blocking, blacklisting). Employees must also uphold agreements: if a price and service were agreed, do not demand extra or unilaterally change terms, except in justified refusals under 6.1-6.3.

7. Prohibited actions against UWU

7.1. Users are prohibited from taking any actions that threaten the reputation, security, property, or operation of the UWU Platform, its team, or crypto wallets and infrastructure associated with the project. This includes both technical attacks and informational harm.

7.2. The degree of threat and the measures taken are determined by UWU’s Security Service based on an internal review.

7.3. Examples of prohibited actions against UWU: attempts to hack the Platform or user accounts; searching for and exploiting system vulnerabilities; mass automated data collection (scraping, harvesting) without permission; DDoS attacks; phishing (creating fake UWU pages to steal data); spreading malware through UWU services; and publicly disseminating knowingly false information about UWU’s status, functions, or security that could harm the project’s reputation.

(Note: this list is not exhaustive. UWU may stop any actions that fall under the general definition of a threat to the Platform.)

8. Contacts and off-Platform deals

8.1. UWU does not prohibit exchanging contacts. Employees may, at their discretion, provide external contacts (phone numbers, messengers, socials) in their profile or chats for contacting Clients, provided content rules are observed (contacts must not be accompanied by banned materials or used to circumvent moderation or rules).

8.2. Deals concluded off-Platform through directly exchanged contacts are entirely outside UWU’s responsibility. In such cases, the Platform does not participate in payments, does not control performance, and does not adjudicate disputes arising from such deals. Exception-cases expressly provided for the “Elite” status (see 11.3.d on the Elite Cash Assist program).

8.3. What UWU confirms about an Employee’s profile outside the Platform: UWU checks and confirms each Employee’s identity before publishing their profile, and also confirms photo authenticity (verification). Thus, if you found an Employee via UWU and contacted them off-Platform, you can be confident their photos were real at the time of verification. UWU does not confirm or guarantee other characteristics (skills, current location, schedule, service prices, or the legality of specific services). Users must clarify terms themselves and make informed decisions at their own risk.

9. User balance and USDT operations

9.1. For convenience, the UWU app provides a user’s internal balance. The balance is funded with USDT (Tether) on supported blockchains (network list and funding address are shown in-app). In practice, the balance is an account of notional units tied to a USDT equivalent.

9.2. Funds on balance can be used only inside the Platform-to pay for services: purchase of “Shifts” (profile publication slots), boosts (profile promotion), UWU service fees, commissions, and other paid UWU features. You cannot withdraw funds from balance directly in fiat (UWU is not a bank), but you may request a transfer of the remaining balance back in USDT to your crypto wallet or simply use the funds fully.

9.3. Network fees for balance top-ups are borne by the user and are non-refundable (i.e., when you fund with USDT, you pay miners/validators on top of the amount actually credited to balance).

(Note: UWU may set a minimum top-up amount per network to cover fees-this information is also displayed in-app.)

9.4. The internal balance is not e-money or a bank account; it represents UWU’s bookkeeping record of what is owed to you, expressed in a USDT equivalent and limited by Platform rules. UWU does not pay interest on the balance and does not assume obligations typical for credit institutions.

10. “Secure Deal” (crypto escrow) and fees

10.1. When using the Secure Deal (escrow) feature, the agreed service fee is locked (held) in cryptocurrency on the UWU side until the agreed deal conditions are met. Such conditions are system markers/events: for example, both parties confirming the meeting in the app, or the expiration of a specified time without a complaint (auto-release). Funds do not go to the provider before conditions are met-this protects both sides. No interest accrues on held funds. Network and payment fees (e.g., blockchain fees for USDT transfers or bank fees for funding UWU) are non-refundable regardless of the outcome.

10.2. UWU’s fee for using Secure Deal is 10% of the deal amount (for Regular Employees). By default, the fee is withheld from the Employee’s payout upon release (unless otherwise shown in the deal interface). Example: if a client locks 100 USDT, upon successful completion the Employee receives 90 USDT, and 10 USDT is UWU’s fee. In some cases, UWU may display fees separately for client and employee in the deal interface-follow the in-app information.

10.3. A different tariff applies to “Elite”: a single 25% service fee on all deals, including both escrow deals and cash payments (see 11.3.b). This fee replaces the standard 10% Secure Deal fee-i.e., fees do not stack for Elite. The calculation method and base (gross/net) are shown in the interface; typically, 25% is calculated from the full price shown in the app.

(Explanation: Elite pays 25% regardless of payment method-for example, if a client pays cash, the Elite Employee still owes UWU 25% via declaration. See 11.3.c.)

11. Cash payments and the Elite Cash Assist program

11.1. If “cash” is chosen at booking, settlement occurs directly between the parties at the meeting. UWU does not participate in such settlements and bears no responsibility-the parties proceed at their own risk. Most dispute rules do not apply to cash deals (see 12.4 below). We recommend agreeing in advance on currency and amount for cash payment.

11.2. Exception-“Elite”: for orders created in-app on an “Elite” Employee’s profile with “cash” as the payment method, UWU may, at its discretion, apply the voluntary Elite Cash Assist compensation program. The idea: if, after such a meeting, one party suffers a financial loss (e.g., a client paid cash but the service was not provided; or the employee rendered the service but the client didn’t pay), UWU may compensate the affected party for part of the loss within limits published in-app (e.g., up to 100% or up to a set amount). This is a good-will gesture, not insurance or a guarantee: UWU decides on compensation at its discretion based on the case review. Conditions: a timely complaint/dispute must be opened; convincing proof of the meeting and payment must be provided (chats, check-ins, media, etc.); there must be no signs of abuse. UWU’s decisions under Elite Cash Assist are final and not subject to appeal; the program may be changed or canceled at any time.

11.3. Service fee for “Elite” with cash: Reminder-Elite Employees pay 25% on all deals (10.3). Therefore, an Elite Employee must declare in the system every deal performed through contacts obtained from the UWU profile, even if the payment was cash directly. Declaration is done via a special in-app interface (e.g., mark the booking as completed for cash). Based on this declaration, UWU charges the 25% service fee (which may be debited from the Employee’s UWU balance). Evasion of cash-deal declaration or attempts to bypass the fee may lead to suspension of “Elite” status and related privileges, or full profile deactivation.

12. Disputes (resolution)

12.1. Subject of dispute: the in-app dispute system can resolve disagreements related to the fact and terms of the service. For example: whether the meeting took place (no-show), whether the full scope was rendered, whether quality matched the agreement, whether rules were violated during the service, and who should receive the escrowed funds (release to the employee or refund to the client).

12.2. Procedure and timing: either party may open a dispute via the order interface within the time provided by the system (typically before auto-release or shortly thereafter-specific times are shown in the escrow terms at deal creation). Parties should set out their position and upload evidence in the dispute thread. If one party stops responding, lack of reply for 24 hours may lead to a decision in favor of the other party (the system or moderator may close the dispute accordingly). UWU may extend the review time if needed to gather data or prevent an unfair outcome.

12.3. Possible outcomes: a decision may include a full or partial refund to the client; denial of refund (i.e., release of escrowed funds to the employee); or other compromise (partial release and partial refund). In serious cases, sanctions may apply to the party at fault (account blocking, withholding funds upon proven fraud). Note: network/payment fees are non-refundable regardless of outcome (e.g., blockchain fees are irretrievably spent and borne by the party receiving returned funds). Abuse of the dispute process (deliberately false claims) violates the Rules and may lead to sanctions.

12.4. Limits for disputes on cash payments: as per 11.1, UWU generally does not adjudicate disputes for deals paid off-Platform (cash or otherwise directly). Therefore, if you agreed directly and paid outside escrow, you cannot open an in-app dispute, except where the Elite Cash Assist program applies (11.2).

12.5. UWU’s decisions are final. Users agree that UWU acts as a neutral when resolving disputes and makes good-faith efforts for a fair outcome but is not a statutory arbitrator. We recommend accepting our decision as final within the Platform context. This does not preclude you from seeking redress from your counterparty in court outside the Platform-UWU is simply not obliged to re-review or submit to an external court’s decision unless it is addressed to UWU itself.

13. Rules for Employees (providers)

13.1. General obligations for all providers:

a) Independence. As an Employee, you act independently and on your own behalf. Registering on UWU and the use of the term “Employee” does not create employment, partnership, or agency with UWU. You organize your activities, set your schedule, define services, and decide on client interactions yourself.

b) Law and taxes. You must comply with the laws of your country/region applicable to your services. This includes (but is not limited to) laws on prostitution/sex work (if any), immigration rules (e.g., no work without authorization), health/sanitary rules, etc. You are also responsible for tax compliance-reporting and paying taxes, obtaining any required registrations (e.g., self-employed status). UWU is not liable for your tax violations.

c) Profile content. All information and materials you post (profile, photos, service descriptions, terms, prices, etc.) must be lawful, current, and accurate. Strictly prohibited: materials featuring minors; content indicating coercion; pornographic photos/videos (in particular, images of exposed genitals or sexual acts in public profiles); personal data of others; materials violating others’ IP (copyright, trademarks). UWU may review and remove/hide any content that breaches these requirements (see section 14). You are responsible for accuracy: e.g., described appearance should match reality; use up-to-date photos. Deliberate deception may lead to complaints and sanctions.

d) Communication and ethics. Primary communication with clients is recommended via the UWU app (built-in chat). This is necessary for safety and protection in case of dispute. Moving to personal messengers is at your own risk. Be polite; extortion or attempts to coax clients into illegal actions are unacceptable. Attempts to divert clients off-Platform to avoid fees are prohibited-e.g., urging regulars to place future orders outside UWU. If discovered (e.g., via client reports or other signs), such actions may lead to account removal. UWU values providers and asks for honesty toward the platform that helps you find clients.

e) Profile verification. Your profile may be published only after internal verification. You must provide UWU with requested materials for verification: typically an ID to confirm identity/age and current photos you plan to post (to confirm likeness). These materials are for internal use only and are not disclosed (see Privacy Policy). UWU may refuse to publish a profile without explanation (e.g., if checks raise discrepancies or fraud suspicions). After verification, you may publish; however, if you materially change your appearance or data, UWU may request re-verification.

13.2. Additional terms for Regular Employees:

a) Shifts (profile publication). UWU uses a model in which a regular profile is visible to clients through “Shifts.” A Shift is a paid time period during which your profile appears in the catalog. Shift length and cost are shown in-app and may vary by city or time of day. For example, one Shift may last 24 hours. After a Shift ends, your profile may be hidden from search (until you buy a new Shift). This model helps avoid stale profiles and keeps the directory current.

b) Use of Secure Deal. Regular Employees may accept payment via escrow (Secure Deal) at the client’s discretion. Upon successful completion and release, UWU charges a 10% fee (see 10.2). Note: if, after the meeting, the client does not confirm completion or is unresponsive, funds auto-release to you after 24 hours (or as specified), unless a complaint is filed. We strongly recommend providing services in good faith to avoid disputes.

c) Cash and external contacts. Regular Employees may work for cash and communicate off-app (see section 6). UWU is not liable for such interactions and does not provide dispute support or compensation if something goes wrong (no-show, nonpayment, etc.). Use off-Platform deals with caution: you will not have escrow protection or UWU arbitration. In disputes arising off-Platform, UWU may only take note for possible sanctions (e.g., block a fraudulent user upon evidence), but is not obliged to return money or decide the dispute.

13.3. Additional rules for “Elite”:

a) Who “Elite” are. Selected Employees vetted by UWU via a special procedure: high service standards confirmation, interview or training, additional criteria (e.g., experience, profile checks). Elite receive priority placement, access to extra quality/safety tools (e.g., expanded support, Elite Cash Assist), and other privileges set by UWU. UWU may grant or revoke Elite status at its discretion. The status builds client trust and overall service quality; it does not mean UWU guarantees outcomes or off-line quality-Elite providers remain independent (see e).

b) 25% service fee. Elite Employees agree to a special monetization model: UWU charges 25% of each deal associated with the Elite profile, regardless of payment method (Secure Deal or cash). As per 10.3, for escrow this replaces the 10% standard. If payment is direct, the Employee must pay 25% of the received compensation via UWU (see declaration below). Example: client pays 200 USD cash-you must pay UWU 50 USD (25%). If a client pays 200 USDT via escrow, UWU withholds 25% (50 USDT) upon release. Calculation details (gross/net) are shown in-app.

c) Elite Cash Assist program. As described in 11.2, UWU voluntarily supports Elite users by compensating part of losses in problematic cash cases. This is not a guarantee or insurance, but a benefit. Conditions-timely complaint and evidence. Applying for compensation implies consent to provide UWU with requested information (including chat screenshots, materials confirming the meeting). Abuse (e.g., staged incidents) will lead to immediate ban.

d) UWU’s non-liability for offline services. Higher standards, training, and checks are aimed at improving quality but do not make UWU liable for Elite actions or client satisfaction. Services are rendered not by UWU but by an independent provider. UWU is not liable if an Elite profile fails to meet offline expectations or if issues arise during a meeting. We may sanction the violator (up to removal from Elite or the platform), but UWU does not compensate moral damage or other costs (except as per Elite Cash Assist).

14. Content and moderation

14.1. User content: All materials a user uploads (photos, descriptions, reviews, messages, etc.) remain the user’s property. However, by posting content you grant UWU a license to use it-see section 24 (Intellectual Property). You are responsible for your content: UWU does not pre-moderate every post, but if content violates Rules or law, you may face liability up to criminal (e.g., for child sexual abuse material-immediate ban and report to authorities).

14.2. Prohibited content: Strictly prohibited on UWU:

  • any materials featuring persons under 18;
  • materials depicting or promoting coercion, human exploitation, sexual or other violence;
  • threats, calls to illegal acts, extremism;
  • doxing: publishing personal data without consent (except where permitted by law);
  • pornographic materials: i.e., overtly sexual photos/videos. Public profiles may not contain images of genitals, explicit sexual acts, or highly explicit media that could make content illegal in some jurisdictions. (Note: UWU is an ad service, not a porn site; tasteful erotic photos are allowed within reason, but the admin may decline overly explicit materials.)
  • illegal goods and services: ads for drugs, weapons, any banned substances, and links to resources offering illegal items;
  • materials infringing IP or other rights: e.g., professional photos owned by others without permission, texts copied without license, etc. If we receive a DMCA or similar notice, such content will be removed, and repeat offenders may face measures.

14.3. Ban on publication manipulation: Some providers repeatedly delete/repost profiles to appear “fresh” and rank higher. Such cyclical reposting is prohibited. For promotion, use legitimate tools-boosts, ads, or reputation. Repeated duplicates, fake extra accounts to evade limits, or to wipe negative reviews will lead to sanctions (blocking all linked accounts). UWU’s rating system must remain fair.

14.4. UWU moderation powers: UWU may (but is not obliged to) edit, hide, or remove any user content if it believes it violates these Rules or the law. Edits will be minimal (e.g., mask personal data or profanity, add censorship on photos), usually with author notice. UWU may also suspend profile display or content visibility while reviewing complaints/suspicions. For gross violations UWU acts at its discretion and notifies afterward (e.g., account blocked for prohibited content; reason sent by email or in-app message).

15. Acceptable Use

15.1. Security and technical hygiene: You may not post or spread malware, viruses, trojans, keyloggers, etc., via UWU (if found in your uploads or links-immediate blocking and possible law enforcement referral).

15.2. Automation and data collection: Any attempt at automated data collection (scraping, parsing) without UWU’s written consent is prohibited. Excessive requests causing abnormal load (rate-limit violations) are also prohibited. If you are a researcher needing data-contact us officially; we may provide an API.

15.3. Mass unsolicited communications: Spam and mass advertising messages to other users without consent are prohibited. You may not use UWU messenger to send identical messages to many recipients (filters will limit you anyway, but do not try).

15.4. Impersonation and fraud: You may not present yourself as another person, a UWU representative, admin, or moderator. Any fraud schemes (e.g., asking users to pay outside escrow under false pretenses, claiming to be “support”) will result in blocking and may be reported to police.

15.5. External links and materials: If you post links to external resources, ensure they contain no banned information. You may not link to porn sites, sites offering illegal goods, or extremist materials. Links to your Telegram or Instagram are allowed, but you are responsible for content at the link-if banned materials are found (e.g., child sexual abuse content), measures will be taken as if you posted it directly.

15.6. Circumventing filters and limits: You may not attempt to bypass geographic restrictions, content filters, or functional limits set by UWU. For example, if we do not operate in your region-do not use a VPN to register “as if” elsewhere. If your account features were limited-do not create a new one without permission. We track device and IP; such attempts are detected.

15.7. Marketing and ads: Any marketing on UWU (promotions, advertising third-party services to users) is only permitted via UWU’s provided tools and under these Rules. You may not use UWU to advertise competing platforms or unauthorized services.

16. Zero tolerance for exploitation

UWU proclaims a Zero Tolerance policy toward sexual exploitation, human trafficking, and any form of coercion in intimate services.

16.1. Ban on minors’ involvement: Again, any involvement of persons under 18 is prohibited. Neither clients may request, nor employees may offer or hint at services involving minors (even as fantasies). Any information about such a case leads to immediate action: profile blocking, log preservation, and reporting to law enforcement at the place of incident (UWU will cooperate within the law).

16.2. Coercion, trafficking: Sex work under coercion is strictly prohibited. If UWU has reasonable suspicion that an “Employee” is acting against their will or is a trafficking victim (e.g., complaints that a third party controls the profile, signals from the provider or clients), we may suspend the account and refer information to competent organizations. We welcome user reports: if you suspect someone is exploited-report us immediately. UWU will try to verify and involve authorities if confirmed.

16.3. Blackmail and coercive “sugar” schemes: Any scheme coercing a user to provide services under threats of revealing identity, photos, intimate chats, etc., is banned. E.g., if a client threatens to “leak” a girl’s profile to relatives demanding free sex-such client will be permanently banned, and we will assist the victim (up to reporting to police).

16.4. The participant’s will prevails: Any Employee may end a meeting at any time if they feel threatened or their boundaries are disrespected. The Client must immediately stop upon first request. Violation is grounds for blocking; if violence occurred-it will be reported..

16.5. Cooperation with authorities: Upon receiving official requests from law enforcement (in proper form and jurisdiction), UWU provides available information necessary to investigate exploitation and crimes against persons. This includes logs, account data, etc., within legal limits and the Privacy Policy.

17. Payments, boosts, refunds, chargebacks

17.1. Rates and payment methods: Platform fees (e.g., 10% or 25%) and prices for services (e.g., Shifts, boosts) are shown in the app under “Rates/Payments” or directly at the transaction. UWU reserves the right to set different rates by region, user category, or promo periods-but not retroactively; only prospectively (see section 23 on change notices). Main top-up method is USDT (see 7); UWU may introduce others (cards, etc.) in local markets, with terms added.

17.2. Finality of sales: All sales of digital products and services on the Platform (Shifts, boosts, service fees, etc.) are final and non-refundable, except when UWU, at its discretion, issues a refund or when required by law. For example, UWU may voluntarily refund a Shift if a listing was not displayed due to a fault. Generally, if you purchased and used a service, no refunds. Funds from canceled boosts and failed deals are returned by unlocking escrow to your balance (and from balance-back in crypto upon request). If your country’s law provides a cooling-off period for digital services-we will comply (see 23 on changes).

17.3. Chargebacks: Initiating a chargeback (reversal via bank or crypto operator) is treated as a violation. If you believe you deserve a refund, use our disputes or support. A unilateral chargeback without attempting resolution via UWU may lead to account blocking. UWU also reserves the right to deduct or otherwise recover amounts related to the chargeback and UWU’s incurred costs (e.g., processor penalties). This is standard practice; we are open to dialogue.

18. Disclaimer of warranties and limitation of liability

18.1. Disclaimer of warranties: The UWU Platform is provided “as is” and “as available.” UWU gives no express or implied warranties regarding the Platform and services. In particular, it does not guarantee continuous availability, error-free operation, or fitness for a particular purpose or user expectations. You use UWU at your own risk. UWU also expressly does not guarantee the success or safety of offline meetings-we facilitate, but do not control user behavior.

18.2. No liability for users’ actions: UWU is not liable for user-posted content or users’ actions off-Platform. Users are not UWU’s representatives, and UWU cannot fully control the accuracy of their information or their honoring of agreements. Consistent with principles like 47 U.S.C. §230 (CDA) in the U.S., “a provider of an interactive computer service shall not be treated as the publisher of information provided by another content provider”-each user is responsible for their own statements and actions, and the platform is not automatically liable. UWU may nonetheless act (blocking, content removal) upon violations.

18.3. No liability for offline interactions: UWU does not organize meetings and does not participate in private services rendered by Employees to Clients. We do not guarantee legality, quality, safety, or suitability of services offered by users through the Platform. Any claims about actual service provision (e.g., personal injury, lost property, unmet expectations) must be resolved between users and, if needed, via law enforcement. UWU may assist with information (logs, etc.) upon court/police request, but bears no direct liability for such incidents.

18.4. Technical failures and third-party services: UWU strives for uptime but cannot guarantee absence of failures, delays, or limits caused by factors beyond our control. UWU is not responsible for outages at external providers: hosting, servers, payment systems, blockchains, telecom networks, messengers-even if integrated. For example, if a blockchain network delays a transaction or the Telegram notification bot is down-UWU is not liable. UWU is also not liable if a user’s account or chat is compromised by the user’s fault (e.g., malware on their device, careless password handling).

18.5. Exclusion of certain damages: To the maximum extent permitted by applicable law, UWU is not liable for indirect, incidental, consequential, exemplary, or punitive damages. That means lost profits, lost opportunities, loss of goodwill, moral damages, loss of data, and other unforeseen harms are not compensable by UWU. UWU is only responsible for direct, documented damages and only upon UWU’s proven fault (e.g., intentional breach).

18.6. Assistance and liability cap.
UWU strives for fair resolution of incidents and, guided by reasonableness and humanity, may, of its own initiative, (i) assist the parties in resolving a situation (mediation, fact-finding, recommendations), and/or (ii) as a good-will program, offer partial compensation, account credits, or adjustments within our technical and financial ability. Any such measures are voluntary, do not constitute an admission of fault, and do not create an obligation to repeat them in the future.

If, under a final court decision or directly under law, monetary liability is imposed on UWU toward a user, the aggregate amount of such liability is capped at the total commissions and fees actually paid to UWU by that user during the 12 months preceding the event giving rise to liability. In other words, the maximum compensation will not exceed your payments to UWU during the year prior to the incident. If a user has never paid UWU (e.g., a client who has not purchased services), liability is limited to the minimum amount allowed by law or to zero-to the fullest extent permitted. This limitation applies insofar as it is not prohibited by mandatory norms of applicable law.

18.7. Non-applicability of limitations where prohibited by law; cooperation.
The limitations in this section do not apply to the extent they are expressly prohibited by law (e.g., where law forbids exclusion of liability for harm to life and health caused by a company’s fault). Regardless of whether UWU is formally incorporated in a given jurisdiction, UWU will, in good faith and within the law, cooperate with NGOs, mediators, courts, law enforcement, and other competent authorities when handling disputes between users and/or claims addressed to UWU, to facilitate lawful and safe resolution. Such cooperation does not waive UWU’s rights, defenses, or immunities provided by law and these Rules.

19. Force majeure

UWU is released from liability for partial or total failure to provide services if directly caused by force majeure circumstances. These include: natural disasters, fires, industrial accidents, wars and hostilities, civil unrest, acts of government (bans, sanctions, blocking), global internet outages, large-scale cyberattacks, failures at infrastructure providers (e.g., payment systems, data centers, telecom operators), and other extraordinary events that cannot be foreseen or prevented by reasonable measures. During force majeure, UWU’s performance is suspended for the relevant period without penalties. UWU will inform users on the site/app as soon as possible about such events. If force majeure lasts more than 30 consecutive days, either party may cease using the Platform (terminate) unilaterally.

20. Third-party services and links

20.1. The UWU Platform relies on external services and providers: payment processing, blockchain networks, hosting providers, communication services (e.g., Telegram integration for notifications), third-party analytics/marketing tools, etc. By accepting these Rules, you acknowledge that UWU does not control third-party policies or operations. We select reliable partners but cannot guarantee their continuity or legality.

20.2. Third-party links: Pages on UWU or user chats may contain links to third-party sites or resources. UWU is not responsible for the content or activities of such resources. By following an external link, you proceed at your own risk and become subject to that resource’s terms and privacy policy. Exercise caution and read third-party terms.

20.3. Authentication via external accounts: If UWU allows login/integration through third-party accounts (e.g., “Sign in with Google” or linking a Telegram account for the bot), you agree that UWU may receive certain data (e.g., email from Google or a Telegram userID) according to the permissions you grant. UWU processes this data under its Privacy Policy. Note that your use of third-party accounts is also governed by that provider’s agreement (Google, Telegram, etc.), and UWU is not responsible for their actions related to your account.

20.4. No liability for third parties: UWU is not liable for losses or damages arising from actions or omissions of third parties engaged in connection with the Platform. For example, if a payer double-spends on a crypto network, or a bank erroneously blocks a transfer, or a data center is temporarily unavailable-this is beyond UWU’s control. Nevertheless, we are ready to assist users in resolving incidents with external providers to the extent possible.

21. Termination of access and account deletion

21.1. User-initiated: You may stop using the Platform and delete your account at any time. Use the app settings (if a “Delete account” button is provided) or write to support. UWU will delete (or deactivate) your account within the time frames set by the Privacy Policy and law. Note that some information may remain in backups and logs for the legally required period (e.g., transaction data retained 5 years for AML). Upon deletion, active orders may be canceled automatically, and balance funds may be returned to you minus fees (if the amount is material and we can reach you).

21.2. UWU-initiated (blocking/suspension): UWU may suspend or terminate your access if grounds exist: violation of these Rules or related policies, violation of law, creating risks for UWU or others, failure to complete required verification, prolonged inactivity (typically >1-2 years), or any situation where continuing service is impossible or impractical. Depending on the situation, UWU may notify you 30 days prior (e.g., general withdrawal from a region) or block without notice (e.g., gross violation or legal demand). The termination decision is at UWU’s discretion.

21.3. Consequences of termination: If your account is deleted or access terminated, you lose access to your profile, chats, and balance. All unfinished orders may be canceled (with corresponding refunds to clients). You may not register a new account without UWU’s permission if the previous one was blocked for violations. Sections of these Rules that by nature survive termination (e.g., liability, privacy, content licenses, indemnity) remain in force.

22. Applicable law and dispute resolution

22.1. Government regulation: UWU operates across multiple jurisdictions. In consumer relations, mandatory laws of the consumer’s country will always apply if recognized under private international law and may not be contractually altered. For the rest (contract terms not conflicting with such norms), the parties agree to be guided by general principles of international law. (Until an official jurisdiction is chosen, UWU acts in good faith per accepted norms. (This wording is temporary and will be clarified upon UWU’s incorporation.))

22.2. Pre-litigation procedure: Before filing suit or a formal complaint, the user and UWU will attempt to resolve disputes by negotiation and correspondence. You may send your claim to our legal email; we will review and reply within a reasonable time. Most issues can be settled directly.

22.3. Court/arbitration: If a dispute cannot be settled amicably, it shall be heard by a competent court or arbitration having jurisdiction under private international law. Until UWU selects a specific governing law, the parties do not establish exclusive jurisdiction of any state, leaving it open-but priority will be given to neutral resolution. For example, ICC arbitration in a neutral jurisdiction is possible, or a court of a country deemed connected to the matter. In any event, consumer users will have the benefit of mandatory consumer protections of their country of residence if inalienably applicable (see 22.1).

22.4. Application of foreign norms: The user accepts that this is a global service, and certain public-law norms may apply regardless of contract terms (e.g., EU personal data rules, U.S. AML requirements, etc.). UWU strives to comply with all mandatory requirements. If you discover a conflict between UWU’s terms and a mandatory norm in your law-contact us; we will try to resolve it.

23. User notifications and changes to the Rules

23.1. Form of notices: UWU communicates electronically. By accepting the Rules, you agree that legally significant notices (changes to terms, security incidents, blocking, etc.) may be delivered: via in-app messages/notifications, via the official UWU Telegram bot, or to your provided email (if you supplied and verified it). UWU may duplicate notices across channels, but the primary channel is in-app notice. We do not use paper mail and generally do not call by phone for legal matters-all communications are online.

23.2. Duty to monitor: If you disabled notifications or left the bot, UWU will still consider you duly notified by posting information in the app (e.g., a banner about updated Rules upon next login). You are responsible for keeping your contact (email, messenger link) current and for regularly checking UWU messages.

23.3. Changes to the Rules: UWU may periodically update these Rules, policies, and rates. We try to announce material changes in advance-typically at least 30 days before effective date, especially if changes affect obligations or remove a user right. Non-material edits (e.g., editorial fixes, updated contacts, adding a new feature that does not worsen user position) may be introduced sooner-watch the version number and update date. If you disagree, you may cease using the Platform before the effective date and request account deletion (so new terms won’t apply to you). Continued use after the effective date constitutes acceptance.

24. Intellectual property (content rights and licenses)

24.1. UWU rights in Platform materials: All elements/materials available on UWU (program source code, interface design, databases, help text, UWU logo, trademarks, trade dress, etc.) are intellectual property owned by or licensed to UWU. All rights reserved. Users receive a limited right to use the Platform and its content within the service’s functionality and purpose. Outside that, reproducing, distributing, copying, decompiling, modifying these objects, or making derivative works or otherwise exploiting them without prior written consent is prohibited. Violations may entail liability.

24.2. User content rights and license to UWU: By uploading/publishing any content on the Platform (photos, profile descriptions, reviews, messages, media), you retain your copyrights and other rights. UWU does not claim your authorship. At the same time, to operate the service, you grant UWU the inevitably necessary rights: a worldwide, for the storage term, royalty-free, non-exclusive license to use, reproduce, publicly display, copy, distribute, translate, create derivative materials (e.g., thumbnails, previews), and otherwise process your content to the extent necessary to provide UWU services and comply with law. Use includes, in particular, showing your photos/text in-app to users, storing on servers, promoting your profile within the service, making backups, transmitting over networks, etc. You also agree that UWU may sublicense your content to infrastructure contractors-e.g., hosting/CDN-strictly for the same purposes (Platform operation). This license terminates when you remove the content from the Platform, except where content is preserved by law (e.g., police request) or in backups (then the license lasts until removal from backup within a reasonable time). Note: removing an account or item does not affect prior actions with it-e.g., if someone saved your photo or your review was in a report-UWU does not control such copies.

24.3. Warranties and prohibited content (reiterated): By uploading content, you represent and warrant you have sufficient rights and authority to post it and grant the license. You warrant your content does not infringe third-party copyrights or related rights, is not protected by others’ patents or trademarks, and does not violate rights of publicity (if posting someone’s image-you have permission). You may not post content you have no right to make available by law or contract. UWU may request proof of rights; if not provided, the material may be removed/blocked.

24.4. Infringement notices (DMCA procedure): If you believe content on UWU infringes your copyrights or other IP, you may send an official notice to contact@uwu.nl. The notice should include: (1) identification of the protected work (or a list); (2) the URL or precise location on the Platform of the allegedly infringing material; (3) claimant’s contact data (name, organization, address, email, phone); (4) a statement of good-faith belief that use is not authorized by the rightsholder or law; (5) a statement of accuracy and authority (under penalty of perjury if required by law); (6) the signature (electronic or physical) of the rightsholder or authorized agent. Upon a proper notice, UWU will promptly remove or restrict access to the challenged content (and, where possible, notify the uploader). The user may file a counter-notice if they believe removal was mistaken. A counter-notice must contain: (i) user’s signature; (ii) identification of removed material and its location before removal; (iii) a statement under penalty of perjury of good-faith belief that the material was removed or disabled by mistake or misidentification; (iv) user’s name, address, phone, and consent to jurisdiction of a court at the rightsholder’s address (or, if outside the U.S., any appropriate court in the provider’s jurisdiction), and consent to accept service from the claimant. After a counter-notice, UWU may restore the material within 10-14 business days if the rightsholder does not provide evidence of filing a lawsuit. This procedure follows 17 U.S.C. §512 (DMCA) and analogous norms. UWU may terminate repeat infringers.
(Note: even if you are outside the U.S., we apply this process as a widely accepted practice for IP complaints.)

24.5. 18 U.S.C. §2257 (Model records) - compliance / inapplicability statement: UWU respects laws protecting minors in adult content. All models whose images may appear on UWU must, under our rules, be over 18 at the time of shooting and publication. Content published by UWU itself (e.g., interface illustrations, promos) does not contain “sexually explicit material” under 18 U.S.C. §2256, or falls under exceptions; therefore §2257 record-keeping does not apply. For user-published content-UWU is not a “producer” under §2257; we are only a hosting provider (interactive computer service). UWU does not organize shoots or solicit explicit uploads; UWU’s role is limited to storing/formatting user publications. Moreover, the Platform bans content clearly covered by §2257 (images of genitals, etc.), i.e., users must not upload materials requiring §2257 records. Nevertheless, UWU may remove any user content it deems violative of these Rules or law (see section 14). 25. Privacy (GDPR)

25.1. Data minimization: UWU collects only personal data necessary to provide services and ensure security. We do not ask for excessive information.

25.2. Data processed: when using the Platform, we may collect/process:

(We do NOT collect biometrics, do NOT access your phone contacts or device content outside the app, and do not record audio/video of meetings and conversations-except when you use built-in video chat and consent.)

25.3. Purposes and legal bases: The primary legal basis is the contract with you (providing platform functionality you request). We also rely on UWU’s legitimate interests-e.g., security, fraud prevention, service improvement. In some cases processing is required by law (e.g., retention of payment data for accounting or producing it to law enforcement under lawful request). Finally, consent is a basis for some processing: e.g., marketing messages, news push notifications-we request your consent (you can withdraw it in settings).

25.4. Data protection: UWU employs organizational and technical measures to protect personal data. This includes encryption of sensitive info, least-privilege access for staff, monitoring anomalous activity, storing especially sensitive data (verification) in isolated systems. No internet system is 100% secure, so we also rely on user caution.

25.5. Data subject rights: If GDPR or similar laws apply to you, you have: right of access (know what we have; request a copy), rectification (fix inaccurate data), erasure (be forgotten, as allowed by law), restriction, portability (structured copy), and the right to object (in certain cases). Exercise these by contacting us at [privacy email] with a request. We will handle it within statutory deadlines, subject to your identity verification. If processing is based on your consent, you may withdraw it at any time (without affecting prior lawful processing). You also have the right to complain to your data protection authority. See the separate Privacy Policy for details.

(This section is informational. In case of conflict between the Privacy Policy and this section, the Privacy Policy prevails.)

26. Indemnification

(Important: this means if your actions violate someone’s rights or the law and UWU suffers damage as a result, you agree to compensate us.)

You agree to defend, indemnify, and hold harmless UWU and its affiliates, officers, employees, and agents from any claims, suits, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your breach of these Rules or other UWU policies; (b) your violation of law or third-party rights in using the Platform; (c) any content/materials you posted (e.g., if your content infringed IP and UWU was sued). This indemnity applies to the extent such claims, losses, or costs are caused by your unlawful or culpable conduct. If such claims are brought, UWU may choose its defense (engage counsel, settle), and you agree to cooperate. This does not mean UWU concedes third-party claims are valid-it ensures the financial burden of your actions does not unfairly fall on UWU. (Example: a user posted prohibited content and UWU was sued; the user covers related costs, except where UWU itself is at fault.)

27. Miscellaneous

27.1. Entire agreement: These Rules, together with the Privacy Policy and any referenced documents, form the entire agreement between you and UWU regarding use of the Platform. They supersede all prior arrangements, correspondence, and agreements on the same subject. You should not rely on any statements or warranties not expressly set out here.

27.2. Severability: If any provision is held invalid, illegal, or unenforceable by a court, the remaining provisions remain valid. The unenforceable clause is deemed severed and does not affect the rest. The parties will in good faith replace it with a lawful clause as close in meaning as possible.

27.3. No waiver: UWU’s failure or delay in exercising any right under these Rules does not waive that right. A specific waiver (e.g., forgiving a violation) does not waive future enforcement. Any waiver is valid only if written and signed by UWU’s authorized representative.

27.4. Assignment: The user may not assign their rights/obligations under these Rules without UWU’s prior written consent. UWU may assign its rights/obligations to any party (e.g., on reorganization, merger, or project sale) subject to protection of your rights. Such assignment takes effect after notice, and the successor becomes responsible for performance.

27.5. Relationship of the parties: These Rules do not create a joint venture, partnership, employment, or agency between UWU and users. Parties are independent contractors. You may not claim to represent UWU without a separate contract.

27.6. Language and translation: The official language of these Rules is [Russian / English - select one]. Translations may be provided for convenience; in case of discrepancies or inaccuracies, the official-language text prevails.
